Terms of Service

1. Eligibility

• You must be at least 18 years old to use Valescrow.
• You must provide accurate information during registration and keep it up to date.
• You must not use the Service for any purpose that violates applicable law, including anti-money laundering, counter-terrorism financing, or sanctions regulations.
• You must activate a merchant account to create allocations or generate API keys.

2. The Service

2.1 What Valescrow Provides

• Conditional escrow & settlement — Programmable fund disbursement with configurable conditions (time-lock, milestone, manual approval, multi-signature, metric inspector, composite).
• Allocation discovery — Public browsing of discoverable allocations across real estate, trade finance, and securities categories.
• RWA templates — Pre-configured allocation templates for real estate, trade finance, and securities use cases.
• B2B API & SDK — RESTful API and TypeScript SDK for programmatic allocation management, payment processing, and webhook integration.
• Distribution management — Automated and manual distribution of funds to allocation recipients.

2.2 Blockchain Transactions

Valescrow operates on the Celo blockchain. Transactions are irreversible once confirmed. We cannot reverse, cancel, or modify confirmed blockchain transactions. All allocation audit logs are immutable and permanently recorded.

2.3 Stablecoins

Valescrow supports 17+ stablecoins: 15 Mento local-currency stablecoins (NGNm, USDm, EURm, GBPm, KESm, GHSm, and more) plus USDC (Circle) and USDT (Tether) on Celo. These tokens are issued by their respective protocols, not by TapPay. While designed to maintain their fiat peg, we do not guarantee their value.

3. Accounts & Merchant Activation

Valescrow accounts require email-based magic link authentication. To create allocations, generate API keys, or access the full portal, you must complete merchant activation, which includes providing your organisation name, category, and business details.

4. Fees

• Platform fee — 0.25% on all allocation categories (minimum 2,000 NGNm). Taken at funding time before ring-fencing recipients. Non-refundable.
• API usage — No per-call fees for standard tier. Rate limits apply (see API documentation).
• Deposit fees — Subject to payment partner fees (Squad 0.5% for Nigeria, Transak fees for international). Displayed before confirmation.

Fees are always disclosed before you confirm any transaction.

5. Allocation Discovery

Valescrow provides an Allocation Discovery Platform for browsing and funding active allocations. This is a primary participation platform only. Investors fund allocations directly; there is no secondary trading of positions. Allocation creators opt in to discovery via the “is_discoverable” setting.

6. API & Webhook Usage

• API keys are confidential. You must not share your secret API key or expose it in client-side code.
• Webhooks are signed with HMAC-SHA256. You must verify webhook signatures before processing events.
• Rate limits are enforced server-side. Exceeding limits results in temporary throttling.
• We reserve the right to revoke API keys that are used in violation of these Terms.

7. Prohibited Activities

You must not use Valescrow to:

• Engage in money laundering, terrorist financing, or sanctions evasion.
• Create fraudulent allocations or misrepresent the purpose of escrowed funds.
• Circumvent transaction limits, fee structures, or security controls.
• Use automated systems to exploit the Service or its rate limits.
• Attempt to modify, reverse-engineer, or compromise the platform’s security.

8. Account Suspension and Termination

We may suspend or terminate your account if:

• You violate these Terms or applicable law.
• Your account is flagged by our AML monitoring system.
• We are required to do so by a regulatory authority or court order.
• We detect fraudulent or suspicious activity.

9. Third-Party Services

Valescrow integrates with third-party services including Squad, Flutterwave, Transak, and the Mento Protocol. Your use of these services is subject to their respective terms. TapPay is not responsible for the availability or actions of third-party services.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• TapPay is not liable for losses caused by blockchain network failures, smart contract bugs, or stablecoin de-pegging events.
• TapPay is not liable for losses caused by incorrect allocation configuration or recipient details.
• Our total liability is limited to the fees you paid to TapPay in the 12 months preceding the claim.

11. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved through binding arbitration in Lagos, Nigeria, except where prohibited by applicable consumer protection law.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
